Acceptance of terms

These Terms of Service (“Terms”) are a legal agreement between you and Oshop Ltd. (“Oshop247”, “we”, “us”) governing your use of the Oshop247 platform at oshop247.com, related admin tools, APIs (where enabled), and storefronts we host for your business.

By creating an account, starting a trial, or using the service, you agree to these Terms, our Privacy Policy, Billing Policy, and any plan-specific limits shown at signup. If you do not agree, do not use Oshop247.

Our services

Oshop247 is a multi-tenant software platform that helps businesses:

• Run an online storefront and manage products, orders, and customers
• Operate point-of-sale (POS) and sync inventory across channels
• Accept payments through integrated gateways (Paystack, Flutterwave, Stripe where available)
• Manage staff, reports, marketing tools, and optional add-ons by plan

Features, limits, and availability depend on your subscription plan and market. We may add, change, or retire features with reasonable notice where practicable.

Eligibility

You must:

• Be at least 18 years old (or the age of majority in your jurisdiction)
• Have authority to bind the business you register
• Provide accurate registration information and keep it up to date
• Comply with applicable laws for your products, taxes, and customer communications

Accounts & access

• You are responsible for all activity under your account and for safeguarding login credentials
• Staff accounts must be assigned appropriate roles — you are responsible for actions taken by your team
• Notify us immediately at [email protected] if you suspect unauthorised access
• We may suspend access to protect the platform, other tenants, or if these Terms are violated

Merchant responsibilities

As a merchant using Oshop247, you are solely responsible for:

• The products and services you sell and all claims made on your storefront
• Pricing, taxes, shipping, refunds, and customer support for your buyers
• Obtaining any licences or permits required for your business
• Your privacy notices and lawful basis for marketing to your customers
• Chargebacks, disputes, and compliance with payment network rules

Oshop247 is a technology provider — we are not the seller of record for your customers’ purchases unless explicitly stated in a separate agreement.

Acceptable use

You agree not to use Oshop247 to:

• Sell illegal, counterfeit, stolen, or prohibited goods
• Engage in fraud, phishing, spam, or deceptive practices
• Upload malware or attempt to breach, scrape, or overload our systems
• Infringe intellectual property or privacy rights of others
• Harass, discriminate, or publish unlawful content
• Circumvent plan limits, billing, or security controls

We may remove content or suspend accounts that violate this section, with or without notice depending on severity.

Your content & licence

You retain ownership of content you upload (product images, descriptions, logos, etc.). You grant Oshop247 a limited licence to host, display, and process that content solely to provide the service — including CDN delivery, backups, and search indexing within your store.

You must have the rights to all content you upload. We may disable content that receives valid copyright or trademark complaints.

Billing & subscriptions

Paid plans, free trials (currently 7 days where offered), renewals, taxes, refunds, and cancellations are governed by our Billing Policy, which is incorporated into these Terms.

Service availability

We aim for high availability but do not guarantee uninterrupted service. Maintenance, third-party outages (payment networks, hosting), or events outside our control may cause downtime. Scheduled maintenance will be communicated when possible via our status page.

Suspension & termination

• By you: cancel your subscription anytime from billing settings (see Billing Policy)
• By us: we may suspend or terminate accounts for non-payment, abuse, legal requirement, or material breach of these Terms
• Data after termination: you may export data during the retention window described in our Privacy Policy; thereafter data may be deleted

Governing law & disputes

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles. Parties agree to attempt good-faith resolution before formal proceedings. Courts in Lagos, Nigeria shall have exclusive jurisdiction, unless mandatory consumer protection laws in your country require otherwise.

Disclaimer & limitation of liability

Oshop247 is provided “as is” and “as available” to the fullest extent permitted by law. We disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, Oshop247 shall not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill. Our total liability for any claim arising from these Terms or the service shall not exceed the fees you paid to Oshop247 in the twelve (12) months before the event giving rise to the claim.

Some jurisdictions do not allow certain limitations — in those cases, our liability is limited to the minimum extent permitted by law.
